Creating a micro-business in Colombia is a process that has been simplified over the years, allowing more people every day to turn their business idea into reality. The main entities involved in this process are DIAN, the Chamber of Commerce and the banking entities of each city. This article will show you the steps to follow to create a micro-enterprise S. A. S. (Simplified Joint Stock Company).

Part 1 of 3: Delineate the business idea
Step 1. Determine if your business idea is viable
You must be clear about the main aspects that will make your business idea successful, since if you do not have sufficient financial resources you will need financial support from an entity or sponsor who will require you to present a proposal for your idea. of business.
- Ask yourself if your business idea can solve any unmet need in the market, this will help you identify who will be the future clients or consumers.
- Do a search on the internet to obtain information about whether your business idea already exists, this way you will be able to know who your competition will be in the market.
- Think about whether you want to manufacture or market a product, this information will help you formulate the statutes of your company when you start with the legalization and paperwork part.
- Determine what is new that your business idea offers as added value, that is, what is likely to make your idea successful in the market.
Step 2. Calculate your budget
To legalize the creation of your microenterprise you will need to set a subscribed capital for its constitution and you will have to pay for the processing of some documents before the Chamber and Commerce and before the DIAN.
- The limit of the subscribed capital that you can contribute for the constitution of a micro-business in Colombia ranges from 0 pesos to 500 SMMLV (current legal monthly minimum wage), but the recommended figure is 10,000,000 million pesos.
- The documents that you must process are: incorporation of a company, registration tax, legal entity registration, commercial registration form and registration of the books. All these procedures will have a cost of 251,500 pesos having as a reference a subscribed capital of 10,000,000 pesos.
Step 3. Choose a name for your micro-business
It is important that you choose an original name, which allows the customer to have an idea about the type of service or product that your company will provide. In the same way, you must make sure that there is no other company in Colombia with the same name.
To make sure that there is no other company with the same name that you chose, you can consult the RUES (Unique Business and Social Registry), you just have to enter the name with which you want to register your company and the system will inform you if there are other companies with the same name in Colombia
Part 2 of 3: Start the process of legalization of the microenterprise S. A. S
Step 1. Prepare the private document with the statutes
This document must contain information such as who will be the shareholders of the company or if a single person will be the shareholder, the name of the microenterprise, how long this microenterprise will be in operation, what type of activities will be developed on behalf of this microenterprise, the capital (authorized, subscribed and paid), how the microenterprise will be managed and who will manage it.
- You must start the document with the names and citizenship card number of the shareholders, which can be one or more, you must also write the address and city where they currently reside.
- Next you will write the name of the microenterprise followed by the acronym S. A. S. (Simplified Stock Company) and the duration of operation of the company; the suggestion is that you use the indefinite term to describe the duration, this way you will not have any time limitation.
- Following the above, you will write in detail all the statutes starting with all the activities that will be carried out under the name of the micro-company (marketing, manufacturing, distribution, etc.).
- You will also have to specify the amount of the subscribed capital; which is the capital with which the company will be constituted when registering it, the authorized capital; which is the capital to which you want to reach the future and the paid capital; which is the amount that the shareholders will pay to acquire shares in the company in the event that more than one person can be a shareholder of said microenterprise.
- To finalize the statutes, you must write the name of who will be the administrators of the company, who will be the legal representative, their citizenship card numbers or identification document and all the details regarding how the microenterprise will be administered as well as their firms.
Step 2. Gather the documentation you will need
To register your microenterprise in the Chamber of Commerce you must present the private document with the statutes of the company that you prepared in the previous step, PRE-RUT, the photocopy of the citizenship card of the legal representative of the microenterprise and the unique business form.
- The PRE-RUT is a document that you can process by entering the online page of the (National Tax and Customs Directorate), there you must click on the option Unregistered users Fill out Forms and again you will click on the option Registration RUT, then you must select the icon of the Chamber of Commerce option. A space will appear on the screen to enter the form number, but you must leave it blank and choose the Continue option, then a form will appear that says for Chamber of Commerce, which you will fill out and print.
- You must go in person to the Chamber of Commerce of your city and claim the Unique Business Form, they can provide you with the necessary advice if you have questions to fill it out. This form will contain all the details of the microenterprise, so take your time to fill it out carefully. You can request it and fill it out at home.
Step 3. Register your micro-business with the Chamber of Commerce
You must present yourself again in person at the Chamber of Commerce of your city with the private document with the statutes of the company, the PRE-RUT form, the photocopy of the citizenship card of the legal representative of the microenterprise and the unique business form to carry out register.
- In the Chamber of Commerce they will check that all the documentation is in order, if so, you will have to pay the registration and incorporation costs that add up to an approximate value of 251,500 pesos, having a subscribed capital of 10,000,000 pesos. An official will notify you via text message or email as to when you should return again.
- When the official of the Chamber of Commerce informs you that everything is ready, you must present yourself again, there they will give you a provisional document of the commercial registration and the PRE-RUT.
- You will need to open a savings account in the name of the microenterprise, for this you must choose a bank that meets the needs of your company. You can request information by phone about the options that different banks offer you. You must go to the bank that you chose with all the documents that you were previously given at the Chamber of Commerce, there the bank will give you a proof of account letter addressed to the DIAN.
Part 3 of 3: Finalize the process of legalization of the microenterprise S. A. S
Step 1. Acquire the RUT and the definitive Commercial Registry
In this phase you will process the final documents of the RUT and the Commercial Registry to finally have your micro-business legally constituted.
- You must go to the DIAN with the photocopy and original of the identity card of the legal representative, the provisional commercial register and the letter addressed to the DIAN that the bank gave you, in this way you will obtain the definitive RUT.
- Then you must go to the Chamber of Commerce and present the final RUT so you will complete the registration process and there you can request copies of the final commercial registration.
Step 2. Complete the resolution form

Step 3. Request the signature and billing resolution
After having completed the 1302 form, you must print it to present it to the DIAN with the rest of the required documents and complete the process with the digital signature.
- You must present yourself at the DIAN with the completed form 1302, photocopy and original of the citizenship card of the legal representative of the microenterprise and with the definitive commercial registry.
- At this point, you can now ask a DIAN official for authorization for the digital signature, this signature will be used for any purpose of electronic documents and billing of the microenterprise and that are processed through a service called MUISCA that belongs to the DIAN.

- It is important that you request the registration of your company's books at the Chamber of Commerce of your city to obtain all the tax benefits.
- Although you can register your microenterprise with a subscribed capital of 0 pesos, it is recommended that you invest an average of 10,000,000 pesos to better establish yourself in the market.
- If your funds are not enough to contribute more to the capital subscribed to your microenterprise, remember that you can join partners who wish to invest capital or you can request a loan from financial entities that provide support to microentrepreneurs.
- Write as detailed as possible each statute of the private document.
